These Terms and Conditions (hereinafter referred to as "Terms of Use") govern your access to and use of the website AD Global Impex (the "Platform"), which is operated and managed by AD Global Impex (referred to as “Us,” “We,” or “Our”). By accessing, registering, or using the services offered on the Platform, you (the “User,” “You,” or “Your”) agree to be bound by these Terms of Use, as well as our Privacy Policy. If you do not agree with any part of these terms, you are required to immediately stop using the Platform.

These Terms of Use apply to all individuals who access or use the Platform, including but not limited to, browsers, sellers, buyers, merchants, and content contributors. By using the Platform, you affirm that you understand and agree to be legally bound by both these Terms of Use and the Privacy Policy, which together form a legally binding agreement between you and AD Global Impex.

Please ensure that you read these terms carefully before using the Platform or accessing any services or content available through it.

1. Modifications to Terms of Use

AD Global Impex reserves the right to change, modify, or update these Terms of Use at any time without prior notice. New features, tools, or services added to the Platform will also be governed by these Terms of Use. We strongly recommend that you regularly review these Terms of Use for any changes. By continuing to use the Platform after such changes are made, you accept the updated Terms of Use. If you disagree with any revisions, you must stop using the Platform immediately.

2. Eligibility to Use the Platform

• The Platform is available only to individuals who are at least 18 years old. If you are under the age of 18, you may access the Platform only with the supervision of a parent or legal guardian who agrees to these Terms of Use on your behalf. Additionally, minors are prohibited from purchasing products intended for adult consumption.

• AD Global Impex retains the right to deny access to the Platform to any new users, or terminate the access of existing users, at its sole discretion and at any time, with or without notice or cause. We will not be held liable for any consequences resulting from the suspension or termination of your access.

3. Prices and Payments

• Prices for products or services offered on the Platform are agreed upon directly between the Seller and Buyer.

• The Seller is not liable for any additional costs that arise after the goods are delivered or loaded onto a vessel under CFR (Cost and Freight) or CIF (Cost, Insurance, and Freight) terms. These additional costs may include, but are not limited to, insurance, port dues, taxes, customs duties, unloading and handling charges, or any other charges associated with the importation of the goods.

4. Mode of Payment

• Payments for products or services on the Platform can be made using one of the following methods:

  • 100% Irrevocable, Confirmed Letter of Credit (L/C) at sight from a prime bank.
  • 30% advance payment via T/T (Telegraphic Transfer) upon order confirmation, with the remaining 70% due upon receipt of a scanned copy of the Bill of Lading (B/L).

• Please note that once issued, an Irrevocable Letter of Credit cannot be modified or canceled without the consent of all involved parties.

5. Delivery

• The delivery of products will be completed within 20 days from the receipt of payment unless otherwise stated. Delivery schedules may be subject to change due to unforeseen circumstances, including but not limited to logistical delays or weather conditions.

• If the product is damaged upon receipt, the Buyer must report the issue to our customer service team via email at info@adglobalimpex.com within 24 hours of receiving the delivery. Any claims made after this period will not be entertained.

• All products should be stored according to the storage conditions specified on the packaging. Failure to adhere to these conditions may render the products unsuitable for use. AD Global Impex is not responsible for any damages, losses, or issues arising from improper storage, and no refunds or replacements will be provided.

6. Price Validity

• The prices quoted on the Platform are valid for 3 days only. After this period, prices may change, and the Platform will not be liable for any price adjustments that occur after the expiration of the price validity period.

7. Pricing and Modifications

• AD Global Impex reserves the right to modify, suspend, or discontinue any products, services, or features offered on the Platform, with or without notice. We shall not be held liable for any price changes, modifications to products or services, or the discontinuation of any offerings.

• The Platform may contain typographical errors or inaccuracies, such as incorrect product descriptions, prices, promotions, or availability. AD Global Impex reserves the right to correct any errors, inaccuracies, or omissions, and may cancel or modify orders accordingly.

8. Import/Export License

• The Seller is responsible for obtaining any necessary export licenses, if applicable. The Buyer is responsible for obtaining any necessary import licenses or permits in the destination country.

9. Use of the Platform

• AD Global Impex grants you a non-exclusive, non-transferable license to access and use the Platform, subject to compliance with these Terms of Use.

• You agree to use the Platform for lawful purposes only and in compliance with applicable laws and regulations. You must refrain from engaging in activities that may disrupt the Platform’s functionality or affect the ability of others to use it.

• AD Global Impex reserves the right to refuse or limit any orders placed by you, cancel any orders at our discretion, and terminate your access to the Platform without prior notice.

• You may not use any automated systems, including bots, spiders, or scripts, to access, scrape, copy, or monitor any part of the Platform. You must not attempt to bypass any security measures or attempt to interfere with the proper operation of the Platform.

10. Intellectual Property Rights

• All content on the Platform, including text, images, graphics, logos, videos, software, and any other materials, is owned by AD Global Impex or its respective owners and is protected by copyright, trademark, and other intellectual property laws.

• The trademarks, logos, and service marks displayed on the Platform are the property of AD Global Impex, Sellers, or other third parties. You may not use these marks without prior written consent from the respective owner.

11. Disclaimer of Warranties & Liability

• AD Global Impex provides the Platform and all associated services on an “as is” and “as available” basis. We do not make any warranties, either express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We do not guarantee that the Platform will meet your specific needs or be free of interruptions, secure, or error-free.

• While we aim to provide accurate product information, there may be discrepancies between the actual appearance, color, or size of the product and what is displayed on your device screen.

• AD Global Impex is not responsible for interruptions to the Platform, server issues, viruses, or any other events beyond our control that may impact the Platform’s availability or functionality.

12. Dispute Resolution

• Any disputes arising from the use of the Platform or these Terms of Use will be resolved through binding arbitration under the Arbitration and Conciliation Act 1996. The arbitration will take place in Indore, Madhya Pradesh, India, and will be governed by Indian laws.

13. Termination

• AD Global Impex reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and without prior notice.

14. Limitation of Liability

• To the fullest extent permitted by applicable law, AD Global Impex will not be held liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to errors, interruptions, viruses, or unauthorized access.

By using this Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Use and the Privacy Policy, as well as any modifications or amendments made to them over time.
